Terms and Conditions

CENTURA TERMS AND CONDITIONS OF SALE

  • All prices are F.O.B. Centura (Toronto) Limited’s (“Centura”) Toronto warehouse.
  • Orders must be tagged with the general contractor name and jobsite address.
  • Prices are subject to change without notice and invoiced prices shall govern, notwithstanding other published prices.
  • Sales terms are net thirty (30) days.
  • Any discrepancy in pricing, quantities or quality shipped must be brought to the attention of Centura’s credit department in writing within thirty (30) days from the date of the invoice. No request for adjustment will be accepted after thirty (30) days. The decision of Centura shall be final and binding.
  • Interest on over due balances shall accrue at the rate of one and one half percent (1.5%) per month being eighteen percent (18%) per annum.
  • Shipments to applicants awaiting credit approval will be made on a C.O.D. basis only.
  • Centura shall not be liable for any losses suffered or incurred by the applicant for late shipments, whether due to Centura’s negligence or otherwise. This includes losses due to strikes, fires, late delivery by our Suppliers and/or any other conditions beyond Centura’s control.
  • Centura is not liable for damage to any goods once picked up from Centura’s warehouse for delivery or delivered by Centura, as the case may be.
  • Installation conditions and procedures of products purchased from Centura are beyond Centura’s control and Centura does not accept any responsibility for any chipping, cracking, crazing, shading or loosening of products purchased from Centura.
  • Title to all purchased goods shall remain in the name of Centura until paid for in full. The purchaser hereby grants Centura the right to enter any premises where such goods are located in order to recover possessions in the event of non-payment.
  • Centura reserves the right to cancel or change price quotes without notice.
  • The above terms and conditions will be strictly enforced by the Management of Centura, and all employees have been instructed not to deviate from the above procedures.

CLAIMS POLICY

  • Any claims due to defects or non-conformance must be brought to the attention of Centura’s sales department in writing within thirty (30) days of the date of the invoice rendered.
  • All claims and complaints must be inspected by a representative of Centura, or the Supplier’s representative before any decision is made in regard to a claim.
  • Claims will not be considered on materials which have been cut, installed or which had visible defects which were evident upon delivery of the goods and should have been reported to Centura prior to cutting or installing same.
  • Materials sold as seconds, clear outs or mill run are sold on an as is where is basis.
  • Materials damaged or which are defective due to matting, crushing, shading, soiling or improper installation are not eligible for price adjustment and/or replacement.
  • Tuft pulling or missing tufts are not eligible for refunds other than for re-inserting tufts.
  • Identical matching of colour in subsequent dye batches is not possible and a difference from original samples is to be expected and Centura shall not be liable for any damages due to subsequent batches being different than original batches.
  • Digitally printed material is variegated. Check product for colour match prior to installation.
  • Centura does not guarantee side matching on any patterned carpets. Centura advises that carpets should be dry-laid as a check on pattern run out.
  • Materials that are being cemented directly to a floor or wall should be carefully inspected for flaws. Claims for replacement will not be considered after material has been cut and installed.
  • Centura’s liability for defective material, subject to the foregoing, will be limited to replacement of the material supplied or the cost of the items supplied if items cannot be replaced and Centura shall not be liable for labour charges for removal or installation or any other damages, losses or claims whatsoever.
  • Claims for wood and laminate installations exceeding $20,000.00 must be submitted with a pre-approved warranty.
  • Any tool or accessory that falls under a warranty claim must be approved by the manufacturer. That item may be repaired or replaced entirely, but it is at the discretion of the manufacturer. Credit will not be issued until issue is resolved with the manufacturer.
  • Centura is not responsible for transporting any item covered under warranty to or from the manufacturing facility or repair shop that has been approved by the manufacturer. Transportation costs will be borne by the customer.

RETURN OF MERCHANDISE

  • Centura will accept only full, sealed and unopened cartons for returns, save and except items opened for initial inspection pursuant to which the defect or flaw was discovered.
  • Returns will not be accepted until Centura’s written approval has been obtained.
  • Returns must be packaged and itemized showing the name of the material, invoice number and the reason for the return.
  • Centura will not accept any returns on sale merchandise, seconds, mill runs, special order material, cut lengths of carpeting or sheet vinyl.
  • Centura will not accept any returns of adhesives, grouts, powder underlayments, or moisture mitigation products.
  • ALL MATERIAL MUST BE RETURNED WITHIN THIRTY (30) DAYS OF CENTURA’S INVOICE DATE UNLESS OTHERWISE AUTHORIZED IN WRITING.
  • All returns are subject to a handling charge of twenty percent (20%) of Centura’s invoice price which shall be deducted from any amount paid or credit note issued by Centura.
  • Centura tools must be returned in unopened packaging. No tool or accessory will be accepted that appears to be used in any way or deemed unsellable. Return authorization is at the discretion of Centura management.
